If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Client Obligations

As a client of painfuxfdq, you agree to:

• Provide accurate and complete information about your property and requirements
• Maintain your property in compliance with applicable laws and regulations
• Pay all fees and charges in accordance with the agreed payment terms
• Cooperate with painfuxfdq in the performance of management services
• Promptly notify painfuxfdq of any changes affecting the property or management agreement
• Ensure proper insurance coverage for your property
• Comply with all applicable Dutch laws and regulations regarding rental properties

Fees and Payment Terms

Management fees and payment terms will be specified in individual service agreements. General payment conditions include:

• Fees are payable in Euros (EUR) unless otherwise specified
• Payment terms are typically monthly or as specified in the service agreement
• Late payment may incur additional charges as specified in the agreement
• painfuxfdq reserves the right to adjust fees with appropriate notice
• All fees are exclusive of VAT unless stated otherwise

Intellectual Property

All content, materials, and intellectual property related to painfuxfdq services, including but not limited to our website, documentation, reports, and proprietary methods, remain the exclusive property of painfuxfdq B.V.

You may not reproduce, distribute, modify, or create derivative works from any painfuxfdq materials without our express written consent. This includes our service methodologies, reporting formats, and business processes.

The painfuxfdq name, logo, and branding are protected trademarks and may not be used without authorisation.

Confidentiality

painfuxfdq acknowledges that in the course of providing services, we may have access to confidential information about your property, tenants, and financial matters. We commit to:

• Maintain strict confidentiality of all client information
• Use confidential information solely for the purpose of providing services
• Implement appropriate security measures to protect confidential data
• Not disclose confidential information to third parties without consent, except as required by law

Limitation of Liability

painfuxfdq provides services with professional care and diligence. However, our liability is limited as follows:

• Our total liability for any claim shall not exceed the total fees paid to painfuxfdq in the 12 months preceding the claim
• We shall not be liable for indirect, consequential, or punitive damages
• We are not liable for losses resulting from client failure to maintain adequate insurance
• Liability for tenant actions or property damage is limited to our professional negligence
• We recommend clients maintain comprehensive property insurance

Nothing in these terms shall limit liability for death, personal injury, fraud, or fraudulent misrepresentation.

Force Majeure

painfuxfdq shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, strikes, or other unforeseeable events.

Data Protection

painfuxfdq processes personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. By using our services, you acknowledge that:

• We may process personal data of property owners, tenants, and other relevant parties
• Data processing is necessary for the performance of our services
• You consent to necessary data sharing with service providers and authorities
• Our Privacy Policy forms part of these terms

Termination

Either party may terminate the service agreement in accordance with the termination provisions specified in the individual service contract. General termination conditions include:

• Written notice as specified in the service agreement (typically 30-90 days)
• Immediate termination for material breach of contract
• Settlement of all outstanding fees and obligations
• Return of property-related documents and materials
• Cooperation in transition of management responsibilities

Upon termination, painfuxfdq will assist in the orderly transition of management responsibilities to the property owner or new management company.

Governing Law

These Terms of Service and any disputes arising from them shall be governed by and construed in accordance with Dutch law. The courts of the Netherlands shall have exclusive jurisdiction over any disputes.

For rental management services, applicable Dutch rental legislation and regulations shall take precedence where relevant.

Dispute Resolution

In the event of any dispute arising from these terms or our services, the parties agree to:

1. First attempt to resolve the matter through good faith negotiations
2. Consider mediation if direct negotiations are unsuccessful
3. Resort to litigation in Dutch courts only as a last resort

Modifications to Terms

painfuxfdq reserves the right to modify these Terms of Service at any time. Changes will be effective upon posting on our website with an updated "Last updated" date. Continued use of our services after modifications constitutes acceptance of the revised terms.

For material changes affecting existing service agreements, we will provide reasonable notice and opportunity to review the modifications.

Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original.

Entire Agreement

These Terms of Service, together with individual service agreements and our Privacy Policy, constitute the entire agreement between you and painfuxfdq regarding the use of our services, superseding all prior agreements and understandings.
